Amazon is one of the most famous shopping and selling platforms in the United States. Like many other platforms, Amazon also has certain policies that sellers need to adhere and comply to, which are partly mentioned in Business Solutions Agreement (BSA). In today's blog, as Merit Law LLP, we will guide you through two important sections that talk about the suspension of a seller's account, sections 2 and 3.
Amazon Section 2 Business Solutions Agreement
Amazon's Section 2, in the case of a fraud or deceptive activity of a seller's account, provides Amazon with the right to withhold seller funds permanently. This could mean very risky consequences for sellers who are claimed to have violated Amazon's policies.
Section 2 is known for its controversiality as it legally does not meet the requirements for a Liquidated Damages Clause (LDC). A liquidated damages clause determines the pre consequences and compensations that an individual would have to pay if there is violations towards the other individual or party.
This specific clause has its own conditions that Amazon's section 2 does not cover, which is why it makes it legally unenforceable.
Amazon sellers, if faced with Section 2, can try to resist through taken legal steps since when compared with the requirements for LDC, Amazon's Section 2 does not meet the criteria of:
- Pre chosen amount for the damages as Amazon can withhold funds that vary in amount.
- Proportionality of damages and the consequences as any amount of funds can be withheld without considering the scope of the damage to their country.
The important point to take out from above is how this can affect the sellers. Amazon Section 2 is a very risky point towards Amazon sellers. Their funds can be withheld any time with account deactivation or suspicion of fraudulent activities. However, seller will be able to challenge these terms since it is controversial in terms of it being legally unenforceable.
Amazon Section 3 in Business Solutions Agreement
Now, let us describe another very important point to Amazon Seller that is mentioned in Section 3 that goes hand in hand with Section 2. Amazon has set strict rules to maintain equity and trust in its marketplace for both its buyers and sellers. Section 3 defines a certain set of rules that may provide the basis on which Amazon could take action against a seller based on claimed grounds of noncompliance with its policies.
Amazon's Section 3 needs to be taken seriously as it can have significant consequences on its seller that can cause Amazon to even start taking legal actions. To summarize, below is the main points that need to be taken from Amazon's Section 3:
- Grievance for Suspension upon Breach Within 7 Days from Notification
- Notice of Account Termination Within 30 Days
- Immediate Suspension with No Warning in case of Severe Offenses (specifically harming their system, fraudulent activity, and creating liability with third parties)
When violating Amazon BSA's Section 3, the sellers will be faced with account suspension, removal of their listings, reduction in earnings, funds withheld according to Section 2, and even legal consequences if they are severe enough. Therefore, Following all of Amazon's rules and regulations is the key to making your business last longer in Amazon. Violations of Amazon's policies entail serious consequences to the sellers and the integrity of the marketplace.
Most of the time, Amazon will send a mail or email connected to your account about the suspension of your seller account and will refer to their Section 3 when mentioning the violating against their policies. It is very important to look through this section in detail and try to avoid violations by:
- Having fair prices and good reviews from customers
- Staying credible by giving out accurate information about the products
- Knowing Intellectual Property rights and making sure to stay away from infringements
- Avoiding fraudulent activities
- Getting professional and legal guidance
- And, by knowing Amazon's policies while also reading them in detail.
Following these steps will get your Amazon account safe and avoid the risk of receiving a Section 3 violation, and make your business there more viable. However, there are many cases where there can be misunderstandings where the seller can request reinstatement of their account. That is what we are here for!
